NOTICE OF CHANGES – ADMINISTRATIVE UPDATES TO OUR TREASURY SERVICES AGREEMENT

Due to changes in the way we provide services to you and other documentation improvements, we updated our Treasury Services Agreement (the “Agreement”) with you. The following is a broad overview of those changes. Review the full agreement here.

TREASURY SERVICES AGREEMENT

General Changes to the Agreement - The Agreement has been amended to remove various sections for products and services that no longer exist or for terms that no longer apply. For example, Sections 1.10 and 2 have been revised to remove several subsections tied to Cash Management Online, First Signal and FirstTools, all of which no longer exist.

Section 1 – General Terms

  • Section 1.3(c) – Payment of Fees has been amended to clarify that monthly earnings credit can be applied to offset certain fees and compensation payable by those customers that earn monthly earnings credit.

Section 4 – Depository Services

  • Section 4.4 – Disaster Recovery Lockbox Services has been removed from the Agreement, as this service is no longer offered. This service was separate and distinct from our standard Lockbox Services (Wholesale and Retail), and its removal has no impact on any Lockbox Services currently provided to customers.

Section 5 – Electronic Transaction Services

  • Section 5.5(b)- Security Procedures specific to Wire Requests have been revised to eliminate systems that no longer exist.

  • Section 5.7 – Fiserv Electronic Remittance Services has been added as a new section. It describes our new service which provides you access to receive payments via Fiserv Solutions, LLC’s Electronic Remittance Services (“ERS”).  ERS allows you to receive electronic payments from certain of your customers.

Section 6 – Balance Control Services

  • Section 6.4 – Bank Partner External Loan Sweep has been added as a new section. It describes our service for sweeping funds into your deposit account from a loan maintained by you with a third-party lender or sweeping funds out of your deposit account as a payment of that third party loan.
