ESOP Financing, Built for You

More Than a Transaction — A Strategy for Long-Term Success

Protect Your Business and the People Who Built It With an ESOP

Building a successful company can take decades of hard work, leadership and commitment. When it's time to transition ownership, choosing the right exit strategy is just as important as building the business itself. An Employee Stock Ownership Plan (ESOP) is one effective way to transition business ownership while protecting your legacy and investing in the people who helped build your success. ESOPs can provide owner liquidity and create long-term value for employees while supporting business continuity and preserving company culture.

FNBO provides customized ESOP financing solutions for privately held middle-market businesses as part of our comprehensive commercial banking solutions. Frequently Asked Questions

ESOP financing is the capital used to help fund an employee ownership transaction. While non-leveraged ESOPs acquire shares gradually through company contributions, many ownership transitions are completed through a leveraged ESOP, in which a trust borrows funds to acquire shares and repays the debt over time through company contributions.

As the loan is repaid, shares are gradually released and allocated to employee accounts. This structure can provide liquidity for selling shareholders, support succession planning objectives and help companies transition ownership to employees while maintaining business continuity.

A leveraged ESOP is a transaction in which the ESOP trust borrows funds to purchase company stock. The company then makes contributions to the ESOP that are used to repay the loan over time.

A non-leveraged ESOP is a transaction in which no debt is used to purchase company stock. Instead, the company makes direct contributions of cash or stock to the ESOP trust over time, gradually transferring ownership to employees without the use of outside financing.

Each ESOP is unique and therefore the transaction timeline varies depending upon the state of readiness by the seller, the company and the management team. The entire transaction engagement will span multiple months and can be influenced by proper planning and the engagement of a collection of trusted advisors.

Companies with stable cash flow, strong leadership and sufficient earnings to support transaction financing are often strong ESOP candidates. Many successful ESOP companies are middle-market businesses, though smaller organizations may also qualify.

Common funding sources include senior debt, mezzanine financing, seller notes, company contributions and other forms of structured capital.

ESOPs can offer tax advantages for business owners, companies and employees. Depending on the company structure and transaction, benefits may include tax-deferred proceeds for qualifying sellers, tax-deductible company contributions and tax-deferred contributions for employees. Tax treatment varies, so consult a qualified tax adviser about your specific situation.

A repurchase obligation is the company's responsibility to buy back vested shares from employees who retire, diversify their holdings or leave the organization for a variety of reasons. Employee Stock Ownership Plan (ESOP) diversification rules allow eligible long-term employees to reduce risk by moving a portion of their company stock into other investments or cash.  Planning for this obligation is an important part of long-term ESOP management.

  • To provide liquidity without selling to an outside buyer.
  • To create a succession plan that protects your legacy.
  • To reward employees through ownership opportunities.
  • To preserve company culture and independence.
  • To access potential tax advantages.

Not necessarily. Many ESOP transactions are structured to maintain existing leadership and governance arrangements while transferring ownership to employees over time.

FNBO provides ongoing relationship banking, treasury management, credit support and strategic guidance to help ESOP-owned companies manage growth, liquidity and long-term planning. Additionally, FNBO provides educational resources to help employee owners understand how ownership can affect their retirement plans.
